Hireveda Platform Terms of Use

Hireveda LLP
Version 1.0 Effective On publication
For candidates, recruiters, clients, guides and other registered users
These Terms govern access to Hireveda websites, applications, dashboards, recruitment tools, communication tools and related services. By creating an account, clicking acceptance, or using a protected service after these Terms are presented, the user enters into a binding agreement with Hireveda LLP. Service-specific terms, including the ExecEdge Terms, apply in addition to these Terms.

1 Definitions and interpretation

  • Account means a registered user identity used to access a Service.
  • Candidate means a person seeking employment, career support or recruitment-related services.
  • Client means an employer, hiring organisation or authorised representative receiving recruitment services or candidate information.
  • Guide means an individual providing guidance within the HireVeda or ExecEdge program.
  • Content includes profiles, resumes, messages, job information, documents, research, outputs, software and other material available through the Services.
  • Services means the Hireveda websites, applications, recruitment services, candidate tools, recruiter tools, communications and related offerings, excluding a service to the extent separate terms expressly prevail.
  • User means any person or organisation accessing a Service.

Headings assist navigation and do not limit a clause. References to law include amendments and subordinate legislation. If a service-specific term conflicts with these Terms, the service-specific term prevails for that service.

2 Eligibility and authority

A User must be at least eighteen years old and legally capable of entering into a contract. A person acting for an organisation confirms that the person has authority to bind it. Hireveda may request reasonable identity, authority or eligibility evidence and may refuse or suspend access where evidence is not provided or appears unreliable.

3 Accounts and security

  • Users must provide accurate, current information and keep it updated.
  • Credentials are personal and must not be shared, sold or used to impersonate another person.
  • Users must promptly notify support@hireveda.com of suspected unauthorised access.
  • A User is responsible for activity performed through the Account to the extent caused by that User or a person authorised by that User.
  • Hireveda may require authentication, reauthentication or additional verification for sensitive actions.

4 Nature of the Services

Hireveda provides recruitment, search, matching, career-support, profile-management and communication services. The Services may help Candidates discover opportunities and help Clients identify potential candidates. Hireveda does not employ Candidates merely because they use the Services and does not become a party to an employment contract between a Candidate and a Client.
Search results, matches, rankings, recommendations and generated materials are aids. They may be incomplete or inaccurate and must be reviewed by the relevant human decision-maker. Hireveda does not guarantee an interview, shortlist, offer, placement, salary, response, business outcome or hiring result.

5 Candidate responsibilities

  • Provide truthful qualifications, employment history, compensation information and supporting documents.
  • Review profiles, extracted resume information and generated material before relying on or sharing it.
  • Maintain lawful rights to submitted content and avoid disclosing confidential information belonging to an employer or another person.
  • Respond reasonably to verification, scheduling and recruitment communications.
  • Use privacy controls to express optional sharing and communication choices.

6 Client and recruiter responsibilities

Clients and recruiters may use candidate information only for genuine recruitment, evaluation, interview, verification and hiring activity connected with the role or mandate for which the information was provided. They must protect the information, restrict access to personnel with a need to know, respect candidate choices communicated by Hireveda and delete or return information when it is no longer required, subject to applicable law. This section and the standard data-use clause apply to every recipient of candidate information, whether or not registered.

  • No resale, unauthorised enrichment, scraping, bulk export, advertising use or unrelated talent pooling.
  • No discriminatory, deceptive, unlawful or harassing recruitment activity.
  • No automated employment decision without lawful safeguards and meaningful human review.
  • No contact outside the permitted recruitment purpose after a Candidate objects or withdraws the relevant permission.
  • Clients remain responsible for their hiring decisions, workplace representations, offers and legal obligations as employers.

7 Acceptable use

Users must not interfere with the Services, bypass access controls, introduce malware, probe security, scrape or harvest information, reverse engineer protected components, use automated access without written permission, send spam, infringe rights, misrepresent identity, or use the Services for unlawful surveillance, discrimination, fraud or harassment. Reasonable security research requires prior written authorisation. Hireveda will publish a yearly reminder of these Terms and acknowledge complaints within 24 hours, resolving them within 15 days.

8 User content and licence

A User retains ownership of content the User lawfully owns. The User grants Hireveda a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, parse, analyse, index, display, transmit and otherwise process that content only as reasonably required to provide, secure, operate and administer the selected Services, comply with law, and exercise rights described in the Privacy Notice. This licence ends when the content is deleted, except for lawful retention, backups, evidence and content already shared at the User’s direction.

9 Artificial intelligence and automation

Hireveda may use automated and artificial-intelligence-assisted tools to extract resume information, normalise titles and skills, infer professional attributes, identify potential matches, support search and ranking, prepare drafts and assist communications. Outputs may contain errors, bias or outdated information. Hireveda does not use an automated output as a guarantee of suitability. Users must review material before acting on it, and Clients remain responsible for lawful, fair and human-reviewed hiring decisions.

10 Privacy and communications

Personal data is processed under the Hireveda Privacy Notice and applicable contextual notices. Acceptance of these Terms is not consent to optional marketing, future-opportunity matching, de-identified profile use or optional communications. Where consent is required, Hireveda requests it separately and records the applicable choice. Transactional communications necessary for an Account, application, security or purchased service may still be sent where permitted by law.

11 Third-party services

The Services may interoperate with employers, job platforms, payment providers, email and messaging services, analytics providers, cloud infrastructure and other third parties. Third-party terms may apply to the User’s direct use of those services. Hireveda is responsible for its own obligations and does not guarantee an independent third-party service. Links do not constitute endorsement.

12 Fees and taxes

Fees, payment dates, taxes and service scope are stated in the applicable order form, proposal, invoice or service-specific terms. Unless stated otherwise, fees are exclusive of applicable taxes. Non-payment may result in suspension. Statutory consumer rights and mandatory refund rights are not excluded.

13 Intellectual property

Hireveda and its licensors retain all rights in the software, branding, databases, taxonomies, templates, research methods, workflows and original materials. Subject to these Terms, Hireveda grants the User a limited, revocable, non-exclusive and non-transferable right to use the Services for the authorised purpose. No right to source code, resale, sublicensing, commercial copying or removal of proprietary notices is granted. This section covers Hireveda's structure and materials; personal data within them remains governed by the Privacy Notice.

14 Confidentiality

Each party must protect non-public information received in connection with the Services using reasonable care and use it only for the relevant service. This obligation does not cover information lawfully public, already known without restriction, independently developed or lawfully received from another source. Disclosure required by law is permitted after reasonable notice where lawful.

15 Suspension and termination

Hireveda may restrict or suspend access where reasonably necessary to address security risk, unlawful activity, fraud, non-payment, material breach or harm to another person. Except where immediate action is necessary, Hireveda will provide reasonable notice and an opportunity to remedy a remediable breach. A User may stop using free Services at any time. Termination does not erase data automatically; the Privacy Notice and applicable retention requirements govern deletion.

16 Disclaimers

The Services are provided with reasonable skill and care but depend on user submissions, market conditions and third-party systems. Hireveda does not warrant uninterrupted operation, error-free automated outputs, availability of any vacancy, accuracy of third-party information, or a particular recruitment outcome. Nothing in these Terms limits a warranty or right that cannot lawfully be excluded.

17 Liability

To the extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable when the contract was formed. Hireveda’s aggregate (whether in contract or otherwise) for a paid Service is limited to the fees paid for that Service during the twelve months preceding the event giving rise to the claim.

The exclusions and caps do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, infringement that cannot lawfully be limited, breach of confidentiality, a party’s indemnity obligations, or liability that applicable law prohibits from being excluded. A consumer’s mandatory statutory remedies remain available.

18 Indemnity

A User will indemnify Hireveda against a third-party claim, regulatory cost or reasonable legal expense arising from the User’s unlawful content, infringement of third-party rights, misuse of candidate information, unauthorised automation, fraud or material breach of these Terms. Hireveda must give reasonable notice and control of the defence, subject to the indemnifying party not settling in a manner that admits fault or imposes obligations on Hireveda without consent. An individual Candidate's indemnity under this section is capped at the fees paid for the relevant Service during the twelve months preceding the claim.

19 Force majeure

A party is not liable for delay caused by an event beyond its reasonable control, including natural disaster, epidemic, war, governmental action, widespread network failure, cloud outage or labour disruption, provided it takes reasonable steps to mitigate the effect. Payment obligations already due are not excused.

20 Changes to these Terms

Hireveda may update these Terms for legal, security, operational or service changes. Material changes will be notified through the Service or registered contact details before they take effect where reasonably practicable. If a change materially reduces a paid service already purchased, the previous terms continue for that purchased period unless law requires otherwise or the User agrees. Continued use after the effective date constitutes acceptance only where the updated Terms were reasonably presented and acceptance is legally valid.

21 Governing law and dispute resolution

These Terms are governed by Indian law. Before commencing formal proceedings, a party should send a written notice to legal@hireveda.com describing the dispute and requested resolution. The parties will attempt good-faith resolution for thirty days.
A commercial dispute (a dispute between Hireveda and a Client concerning paid Services) not resolved within that period shall be finally resolved by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The parties will attempt to agree on the arbitrator; failing agreement, appointment may be sought under the Act. The seat and legal place of arbitration is Jamshedpur, Jharkhand, the language is English, and hearings may be conducted virtually. Courts of competent jurisdiction at Jamshedpur may grant interim or supervisory relief. This clause does not prevent a consumer from using a competent consumer commission or another non-waivable statutory forum. Any other dispute shall be subject to the courts of competent jurisdiction at Jamshedpur, preserving consumer rights.

22 General terms

If a provision is invalid, it will be limited to the minimum extent necessary and the remainder will continue. Delay in enforcement is not a waiver. A User may not assign the agreement without written consent; Hireveda may assign it as part of a merger, restructuring or transfer of the relevant business subject to applicable law. These Terms, applicable service-specific terms, order documents and incorporated policies form the entire agreement for the relevant Service. Electronic acceptance and records are valid to the extent permitted by law.
